The Agreement

1. Scope of Work

Designer will deliver the HypnoVerse AI platform described in the HypnoVerse AI Project Proposal, which is part of this Agreement. Everything included:

• Creative direction, visual identity and responsive interface design for mobile, tablet and desktop.
• AI Hypnosis Learning Academy: learning paths, lessons, quizzes, progress tracking and achievements.
• AI Tutor experience: tutor interface, 3D avatar integration, AI conversation, voice input and speech output, with expression and lip-sync subject to the selected technology.
• Multilingual experience planning for English, French and Tunisian Arabic.
• Interactive 3D Creative Studio: character workspace, viewing controls, customization, lighting, camera and scene controls.
• AI Image Generation: generation interface connected to a selected image-generation service, style presets, preview, history and downloads.
• Supporting features: account registration and login, user dashboard, saved projects and favorites, prompt tools, relaxation and focus utilities.
• Technical development, secure API connections, testing and launch preparation.
• If Client would like something different from the items above, Designer and Client may agree on the change, and Designer will confirm it in a short written note before the work begins.

2. Timeline

The project schedule and key dates will be agreed together after scope confirmation and technical discovery. Work begins once this Agreement is signed, the deposit is received and onboarding is complete. Delayed feedback, content or account access may move agreed dates.

3. Investment and Payment

The total project investment is $9,000 USD, paid as follows:

• 75% deposit — $6,750: due on signing to reserve the project and begin work.
• 25% remaining balance — $2,250: due after launch.
• The deposit becomes non-refundable once work begins. Work may pause while an invoice is unpaid.

4. Additional Work

Anything outside the scope above, including new features, extra tools or additional services, will be agreed together in writing, with any added cost and timing confirmed before work starts.

5. After Launch

Included at no additional cost: full transfer of the platform, training and handover.

Optional: if Client would like Designer to maintain and manage the platform, ongoing care is $200 per month, beginning the month after launch, chosen separately in writing.

6. Ownership and Third-Party Services

After full payment, Client owns the platform, its content, user data and completed deliverables. Client is responsible for third-party fees such as hosting, AI service usage, subscriptions and separately licensed assets.

7. Acceptance

By signing below, both parties confirm they have reviewed and accept this Agreement and the Proposal.
